English – Terms of Service (CoachClip)

Welcome to CoachClip. These Terms of Service (“Terms”) govern your access to and use of the CoachClip mobile application and related services (collectively, the “App”). By downloading, installing, registering for, or using the App, you agree to these Terms. If you do not agree, please do not use the App.

1. Definitions

• 1.1 “App” means the CoachClip mobile application, including all updates, enhancements, and any related documentation.
• 1.2 “User” means any natural person who downloads, registers for, accesses, or uses the App.
• 1.3 “Content” means all materials that Users or CoachClip upload, post, or display in the App, including videos, images, text, comments, and other media.
• 1.4 “CoachClip Ambassadors” means community accounts created and managed by CoachClip to seed initial content for the App, each clearly labeled as such.

2. Scope and Acceptance

• 2.1 These Terms apply to all Users and use of the App.
• 2.2 By downloading, registering for, or using the App, you confirm that you have read, understood, and agree to be bound by these Terms.
• 2.3 If you do not agree to any part of these Terms, you must immediately cease use of the App and remove it from your device.

3. Eligibility and Age Restriction

• 3.1 The App is intended solely for Users aged 16 years or older.
• 3.2 By using the App, you represent and warrant that you are at least 16 years old. If you are under 16, you may not use the App.

4. Account and Security

• 4.1 Certain features require you to register for an account. You must provide accurate, complete, and current information.
• 4.2 You are responsible for safeguarding your login credentials and for any activity under your account.
• 4.3 You must notify CoachClip immediately of any unauthorized use of your account by emailing coachclip@hotmail.com.
• 4.4 CoachClip reserves the right to suspend or terminate accounts that violate these Terms or our community guidelines.

5. User-Generated Content & Community Guidelines

• 5.1 You are solely responsible for all Content you upload or share.
• 5.2 You represent and warrant that you own or have obtained all necessary rights, permissions, and releases for the Content you submit.
• 5.3 Prohibited Content includes, without limitation, any illegal, abusive, discriminatory, violent, explicit, or otherwise inappropriate material.
• 5.4 All feedback you provide must be respectful and constructive.
• 5.5 CoachClip reserves the right to review, remove, or refuse any Content that violates these Terms or disrupts the App experience.

6. License Grant and Ownership

• 6.1 By uploading Content, you grant CoachClip a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, distribute, and display that Content within the App.
• 6.2 You retain all rights, title, and interest in and to your Content.
• 6.3 CoachClip’s trademarks, trade dress, and service marks are owned by CoachClip. You may not use them without our prior written permission.

7. Peer Advice & Liability Disclaimer

• 7.1 All sports tips, training advice, and feedback provided in the App are generated by community members and are not professional or medical advice unless explicitly stated.
• 7.2 You use all advice and recommendations at your own risk.
• 7.3 CoachClip is not liable for any injury, loss, or damage arising from reliance on any Content. Always consult a qualified coach or healthcare professional before making physical or training changes.

8. AI Features Disclaimer

• 8.1 The App may include AI-driven suggestions, automatic editing, or analysis features.
• 8.2 AI-generated outputs are for informational purposes only and may be inaccurate or incomplete.
• 8.3 AI features do not replace professional coaching or medical advice. Use your own judgment and seek expert guidance as needed.

9. Service Availability and Modifications

• 9.1 CoachClip strives to provide a stable, secure service but does not guarantee uninterrupted access.
• 9.2 We may modify, suspend, or discontinue any feature of the App at any time without notice.
• 9.3 Maintenance, updates, or technical issues may cause temporary downtime.

10. Third-Party Services

• 10.1 You may log in via third-party services (e.g., Google, Facebook). Your use of those services is governed by their respective terms and privacy policies.
• 10.2 CoachClip is not responsible for the actions, content, or privacy practices of any third party.

11. Limitation of Liability

• 11.1 To the maximum extent permitted by applicable law, CoachClip and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to these Terms or the App.
• 11.2 In no event shall CoachClip’s total liability exceed the amount you paid to CoachClip in subscription or license fees in the 12 months preceding the claim, or €100 if no fees were paid, at CoachClip’s option.
• 11.3 You agree to indemnify, defend and hold harmless CoachClip, its affiliates, officers, directors, employees and agents from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your Content; (b) your use of the App; or (c) any violation of these Terms by you.
• 11.4 Neither you nor CoachClip will be liable for any failure or delay in performance under these Terms (other than payment obligations) due to circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, strikes, government orders or interruptions in telecommunications or internet service.
• 11.5 If any provision of these Terms is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
• 11.6 These Terms constitute the entire agreement between you and CoachClip regarding your use of the App and supersede all prior or contemporaneous agreements, understandings and communications, whether written or oral, relating to the same subject matter.

12. Termination

• 12.1 You may terminate these Terms by uninstalling the App and ceasing all use.
• 12.2 CoachClip may suspend or terminate your access immediately if you breach these Terms or pose a risk to the App or other Users.

13. Changes to These Terms

• 13.1 CoachClip may update these Terms from time to time.
• 13.2 We will notify you of material changes via email or in-App notification.
• 13.3 Continued use of the App after changes takes effect constitutes acceptance of the revised Terms.

14. CoachClip Ambassadors

• 14.1 To ensure a vibrant launch, the App includes initial content from CoachClip-managed community accounts, known as “CoachClip Ambassadors.”
• 14.2 Each Ambassador account and post is clearly identified with a profile picture and the label “CoachClip Ambassador Content.”
• 14.3 Ambassador Content is intended solely to seed discussions and demonstrate App features; it does not represent independent user experiences.
• 14.4 All Users are encouraged to share their own authentic Content and engage directly with the community.

15. Governing Law & Dispute Resolution

• 15.1 These Terms and any dispute arising out of or related to the App shall be governed by the laws of the Netherlands.
• 15.2 Any dispute shall be submitted exclusively to the competent courts of Amsterdam, unless mandatory law requires otherwise.
