English – Terms of Service (CoachClip BV)

Welcome to CoachClip. These Terms of Service (“Terms”) govern your access to and use of the CoachClip mobile application and related services (collectively, the “App”). By downloading, installing, registering for, or using the App, you agree to these Terms. If you do not agree, please do not use the App.

1. Definitions

• 1.1 “App” means the CoachClip mobile application, including all updates, enhancements, and any related documentation.
• 1.2 “User” means any natural person who downloads, registers for, accesses, or uses the App.
• 1.3 “Content” means all materials that Users or CoachClip upload, post, or display in the App, including videos, images, text, comments, and other media.
• 1.4 “CoachClip Ambassadors” means community accounts created and managed by CoachClip BV to seed initial content for the App, each clearly labeled as such.

2. Scope and Acceptance

• 2.1 These Terms apply to all Users and all use of the App.
• 2.2 By downloading, registering for, or using the App, you confirm that you have read, understood, and agree to be bound by these Terms.
• 2.3 If you do not agree to any part of these Terms, you must immediately stop using the App and remove it from your device.

3. Eligibility and Age Restriction

• 3.1 The App is intended solely for Users aged 16 years or older.
• 3.2 By using the App, you represent and warrant that you are at least 16 years old.

4. Account and Security

• 4.1 Certain features require you to register for an account. You must provide accurate, complete, and current information.
• 4.2 You are responsible for safeguarding your login credentials and for all activity under your account.
• 4.3 You must notify CoachClip BV immediately of any unauthorized use of your account by emailing [email protected].
• 4.4 CoachClip BV reserves the right to suspend or terminate accounts that violate these Terms or our community guidelines.

5. User-Generated Content & Community Guidelines

• 5.1 You are solely responsible for all Content you upload or share.
• 5.2 You represent and warrant that you own or have obtained all necessary rights, permissions, and releases for the Content you submit.
• 5.3 Prohibited Content includes, without limitation, any illegal, abusive, discriminatory, violent, explicit, or otherwise inappropriate material.
• 5.4 All feedback you provide must be respectful and constructive.
• 5.5 CoachClip BV reserves the right to review, remove, or refuse any Content that violates these Terms or disrupts the App experience.

6. License Grant and Ownership

• 6.1 By uploading Content, you grant CoachClip BV a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, distribute, and display that Content within the App.
• 6.2 You retain all rights, title, and interest in and to your Content.
• 6.3 CoachClip BV’s trademarks, trade dress, and service marks are owned by CoachClip BV. You may not use them without prior written permission.

7. Peer Advice & Liability Disclaimer

• 7.1 All sports tips, training advice, and feedback provided in the App are generated by community members and are not professional or medical advice unless explicitly stated.
• 7.2 You use all advice and recommendations at your own risk.
• 7.3 CoachClip BV is not liable for any injury, loss, or damage arising from reliance on any Content. Always consult a qualified coach or healthcare professional before making physical or training changes.

8. AI Features Disclaimer

• 8.1 The App does not employ automated video analysis or AI-generated content. All feedback is provided exclusively by community users, except for content posted by clearly marked “CoachClip Ambassador” accounts.

9. Service Availability and Modifications

• 9.1 CoachClip BV strives to provide a stable, secure service but does not guarantee uninterrupted access.
• 9.2 We may modify, suspend, or discontinue any feature of the App at any time without notice.
• 9.3 Maintenance, updates, or technical issues may cause temporary downtime.

10. Third-Party Services

• 10.1 You may log in via third-party services (e.g., Google, Facebook). Your use of those services is governed by their respective terms and privacy policies.
• 10.2 CoachClip BV is not responsible for the actions, content, or privacy practices of any third party.

11. Limitation of Liability

• 11.1 To the maximum extent permitted by applicable law, CoachClip BV and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to these Terms or the App.
• 11.2 In no event shall CoachClip BV’s total liability exceed the amount you paid to CoachClip BV in subscription or license fees in the 12 months preceding the claim, or €100 if no fees were paid.
• 11.3 You agree to indemnify, defend, and hold harmless CoachClip BV, its affiliates, officers, directors, employees, and agents from and against any claims arising out of your Content, your use of the App, or violation of these Terms.
• 11.4 Neither you nor CoachClip BV will be liable for delays due to events beyond reasonable control.
• 11.5 If any provision is invalid, the rest remains in effect.
• 11.6 These Terms constitute the entire agreement between you and CoachClip BV.

12. Termination

• 12.1 You may terminate by uninstalling the App and ceasing use.
• 12.2 CoachClip BV may suspend or terminate access if you breach these Terms.

13. Changes to These Terms

• 13.1 CoachClip BV may update these Terms from time to time.
• 13.2 We will notify you of material changes via email or in-App notification.
• 13.3 Continued use constitutes acceptance of updated Terms.

14. CoachClip Ambassadors

• 14.1 The App includes initial content from CoachClip BV-managed accounts.
• 14.2 These are clearly labeled “CoachClip Ambassador Content.”
• 14.3 This content is for demonstration only.
• 14.4 Users are encouraged to share authentic content.

15. Governing Law & Dispute Resolution

• 15.1 Governed by the laws of the Netherlands.
• 15.2 Disputes handled in Amsterdam courts unless required otherwise.
